YAPN disseminates knowledge and fosters interest in Norwegian and international arbitration among young lawyers, trainees, in-house counsel, academics, and other interested individuals through the organization and participation in events, courses, and meetings.Feel free to join!YAPN was founded on November 29, 2016, in Oslo by several initiators from Oslo law firms.The board consists of a number of practitioners active in the Norwegian and international arbitration communities. Foreningens navn er Young Arbitration Practitioners Norway, med forkortelsen YAPN. Foreningen har sete i Oslo kommune.2 FORMÅLForeningens formål er å fremme og utbre kjennskap til og interesse for norsk og internasjonal voldgift og for Norge som forum for voldgiftssaker, herunder ved avholdelse av og deltakelse i arrangementer, kurs og møter.3 JURIDISK PERSONForeningen er en selveiende og frittstående juridisk person med upersonlig og begrenset ansvar for gjeld.4 MEDLEMSSKAP OG KONTINGENTMedlemskap er åpent for norske og utenlandske jurister, samt andre med interesse for voldgift, som ikke er eldre enn 45 år. Medlemskapet opphører automatisk ved utgangen av det kalenderår medlemmet fyller 46 år.Styret kan gi dispensasjon til fortsettelse av medlemskapet for medlemmer hvis medlemskap opphører på grunn av alder.Virksomheter og institusjoner kan være medlemmer.For medlemskap betales en kontingent som fastsettes av styret. Kontingenten skal være en årskontingent for et kalenderår. Styret kan fastsette særlige regler om kontingentens størrelse for nye medlemmer i det første kalenderåret.Styret kan fastsette regler om at studenter, universitetsansatte eller andre persongrupper kan opptas som medlemmer uten å betale kontingent.Kontingenten oppkreves ved innmeldelse i foreningen og ellers én gang per år.5 STYRETForeningen ledes av et styre på fire til åtte medlemmer, som alle velges av generalforsamlingen. Foreningens første styre velges på stiftelsesmøtet.Det skal tilstrebes kjønnsbalanse i styresammensetningen. Det skal også tilstrebes at flere advokatfirmaer har representanter i styret.Styremedlemmene velges for to år av gangen. Gjenvalg kan finne sted, men ikke mer enn to ganger, slik at hvert styremedlem kan sitte i styret i maksimalt tre perioder (totalt seks år). Ved langvarig sykefravær og/eller foreldrepermisjon kan gjenvalg skje én ekstra gang, slik at styremedlemmet kan sitte i styret i fire perioder (totalt åtte år). Styret velger en leder blant sine medlemmer, en nestleder og en økonomiansvarlig. Også for styremedlemmer som har tjent som styrets leder kan gjenvalg skje én ekstra gang, slik at styremedlemmet kan sitte i styret i fire perioder (totalt åtte år).Innkalling til styremøter skjer skriftlig med minst 14 dagers varsel.Styret er beslutningsdyktig når mer enn halvparten av styremedlemmene er til stede.Styret treffer beslutning ved simpelt stemmeflertall. Ved stemmelikhet er lederens stemme utslagsgivende.Styret kan treffe en beslutning om at foreningen skal tilknyttes en eller flere norske eller utenlandske organisasjoner, institusjoner eller foreninger innenfor voldgift.6 TEGNINGForeningen tegnes av to styremedlemmer i fellesskap.7 GENERALFORSAMLINGENGeneralforsamlingen utgjør høyeste myndighet i alle foreningens anliggender.Ordinær generalforsamling avholdes én gang i året innen utgangen av juni måned.Generalforsamlingen innkalles av styret med minst 14 dagers varsel. Innkalling skjer ved e-post til hvert enkelt medlem. Ordinær generalforsamling kan det innkalles til ved oppslag på foreningens hjemmeside.Innkalling til generalforsamling skal inneholde en dagsorden samt en kort redegjørelse for forslag som skal behandles.Ethvert kontingentbetalende medlem kan fremme forslag til behandling på generalforsamlingen. Forslag som ønskes behandlet på den ordinære generalforsamlingen skal sendes til styret innen
1. april.Ekstraordinær generalforsamling avholdes når styret finner det nødvendig, eller når det kreves av minst 25 % av foreningens kontingentbetalende medlemmer. Styret skal i så fall innen 14 dager og deretter med minst 14 dagers varsel innkalle til ekstraordinær generalforsamling. Anmodning om ekstraordinær generalforsamling skal fremsettes skriftlig overfor styret og skal ledsages av et begrunnet forslag til dagsorden.Dagsorden for den ordinære generalforsamling skal inneholde følgende:1) Valg av ordstyrer.
2) Styrets beretning om foreningens virksomhet i det foregående året.
3) Fremleggelse av regnskap til godkjenning.
4) Fastsettelse av årskontingent for det påfølgende kalenderår.
5) Valg av styremedlemmer.
6) Valg av revisor.
7) Behandling av eventuelle forslag fra styret eller medlemmer.
8) Eventuelt.Generalforsamlingen ledes av ordstyreren, som avgjør alle spørsmål vedrørende generalforsamlingens ledelse og avstemninger.På generalforsamlingen har hvert personlige, kontingentbetalende medlem én stemme.Alle beslutninger treffes ved simpelt stemmeflertall, bortsett fra beslutninger som etter vedtektene krever kvalifisert flertall.Beslutning om endring av vedtektene i andre tilfeller enn oppløsning av foreningen eller endring av foreningens formål er kun gyldig hvis beslutningen tiltres av minst 2/3 av de på generalforsamlingen representerte stemmer.Foreningens formål kan endres, eller foreningen kan oppløses, ved beslutning om dette på en generalforsamling, hvor minst 2/3 av samtlige kontingentbetalende medlemmer av foreningen stemmer for dette.Ved oppløsning av foreningen skal eventuelle overskytende midler anvendes i samsvar med formålet etter styrets nærmere beslutning.8 ADMINISTRATORStyret kan velge en administrator og treffer beslutning om vedkommendes vederlag.9 REVISJON OG REGNSKAPSÅRForeningens revisor foretar årlig en gjennomgang av regnskapet. Revisor velges av den ordinære generalforsamling for tiden frem til neste ordinære generalforsamling.Gjenvalg av revisor kan finne sted.Foreningens regnskapsår skal være kalenderåret.Første regnskapsår løper fra stiftelsen til den 31. desember 2016.--Sist vedtatt med endringer den 26. mai 2025.

The association is based in the municipality of Oslo.2. PURPOSEThe purpose of the association is to promote and disseminate knowledge of and interest in Norwegian and international arbitration, as well as Norway as a forum for arbitration cases, including through the organization and participation in events,courses, and meetings.3. LEGAL ENTITYThe association is a self-governing and independent legal entity with impersonal and limited liability for debts.4. MEMBERSHIP AND MEMBERSHIP FEEMembership is open to Norwegian and foreign lawyers, as well as others interested in arbitration, who are not older than 40 years. Membership automatically ceases at the end of the calendar year in which the member turns 41. The board may grant exceptions to allow membership to continue for members whose membership ends due to age.Businesses and institutions can also become members. A membership fee, determined by the board, is required for membership.The fee shall be an annual fee for a calendar year. The board may establish specific rules regarding the fee amount for new members in their first calendar year.The board may establish rules allowing students, university employees, or other groups of individuals to become members without paying a membership fee. The membership fee is collected upon joining the association and thereafter once per year.5. BOARDThe association is managed by a board consisting of four to eight members, all of whom are elected by the general assembly.The association's first board is elected at the founding meeting. Gender balance in the composition of the board shall be sought. It shall also be sought to have representatives from several law firms on the board.Board members are elected for two-years at a time. Re-election may take place, but not more than twice, so that each board member can serve on the board for a maximum of three terms (a total of six years). In the event of long-term sick leave and/or parental leave, re-election may take place one additional time, so that the board member can serve on the board for four terms (a total of eight years). The board elects a chair from among its members, a vice chair, and a treasurer. Board members who have served as the chair may also be re-elected one additional time, so that such board member can serve on the board for four terms (a total of eight years).Notice of board meetings is given in writing with a minimum of 14 days' notice. The board is considered quorate when more than half of the board members are present.Decisions of the board are made by a simple majority vote. In case of a tie, the chair has the deciding vote. The board may decide to affiliate the association with one or more Norwegian or foreign organizations, institutions, or associations in the field of arbitration.6. SIGNINGThe association is represented by two board members jointly.7. GENERAL ASSEMBLYThe general assembly is the highest authority in all matters concerning the association. An ordinary general assembly is held once a year by the end of June.The general assembly is convened by the board with a minimum of 14 days' notice. Notice is sent by email to each member. For an ordinary general assembly, notice may also be posted on the association's website. The notice of the general assembly shall include an agenda and a brief description of proposals to be discussed.Any fee-paying member may submit proposals for consideration at the general assembly. Proposals to be considered at the ordinary general assembly shall be sent to the board by April 1st.An extraordinary general assembly is held when deemed necessary by the board or when requested by at least 25% of the association's fee-paying members. In such cases, the board shall convene an extraordinary general assembly within 14 days, providing a minimum of 14 days' notice. The request for an extraordinary general assembly shall be submitted in writing to the board, accompanied by a justified proposal for the agenda.The agenda for the ordinary general assembly shall include the following:1) Election of a chairman.
2) The board's report on the association's activities in the previous year.
3) Presentation of the accounts for approval.
4) Determination of the annual membership fee for the following calendar year.
5) Election of board members.
6) Election of an auditor.
7) Discussion of any proposals from the board or members.
8) Any other business.The general assembly is chaired by the chairman, who decides all matters regarding the assembly's management and voting.Each individual fee-paying member has one vote at the general assembly.All decisions are made by a simple majority vote, except for decisions that, according to the bylaws, require a qualified majority.A decision to amend the bylaws, other than dissolution of the association or a change in the association's purpose, is valid only if supported by at least two-thirds of the votes represented at the general assembly.The association's purpose can be amended or the association can be dissolved by a decision to that effect at a general assembly, with at least two-thirds of all fee-paying members of the association voting in favor.In the event of dissolution, any remaining assets shall be used in accordance with the purpose as determined by the board.8. ADMINISTRATORThe board may appoint an administrator and determine their remuneration.9. AUDIT AND FINANCIAL YEARThe association's accounts are annually reviewed by an auditor. The auditor is elected at the ordinary general assembly and holds office until the next ordinary general assembly.Re-election of the auditor is possible.The association's financial year shall coincide with the calendar year.The first financial year runs from the establishment of the association until December 31, 2016.--Last adopted with changes on 26 May 2025.
